Terms & Conditions

This notice is addressed by Wyatt Whisky Auction (WWA), a trading name of Wyatt International Trading Limited and owner of the domain www.whiskyauction.com.hk to any person who may be interested in a Lot, including eventual buyers of the lot. Herewith, these persons will be referred to as ‘Bidders’ or ‘you’.

  

By registering to www.whiskyauction.com.hk and participating as a Buyer, Seller or both in any auction run by this website, you are deemed to have read, understood and agreed to the following terms and conditions, which shall be contractually binding to you. In the event that you are the successful Bidder/Seller for a Lot in an Auction, you agree that these Conditions of Business for Buyers/Sellers will constitute the contract which governs the relationship between WWA, Sellers and Bidders.     

 

Site

We are an online only auction platform where registered users of our website (the "Site") can buy and sell whiskies, wines and related products. This website is operated by Wyatt International Trading Limited ("we", "our", " us"). We are a company registered in Hong Kong with company number 2890679 and registered office: 37B, Tower 2B, Wings At Sea, Lohas Park Phase 4A, Tseung Kwan O, New Territories, Hong Kong.


1.1 Language

These terms are available in English only. In the event of any discrepancies or dispute in interpretation, the terms set out in the English version will prevail. WWA’s interpretation of these terms and conditions will be considered final.

1.2 Glossary and Definitions 

In these Terms and Conditions:


"WWA" means Wyatt Whisky Auction which is a trading name for Wyatt International Trading Limited, which has its registered office at 37B, Tower 2B, Wings at Sea, Lohas Park Phase 4A, Tseung Kwan O, New Territories, Hong Kong;

"Bidder" is any person considering, making or attempting to make a bid in an Auction and includes Buyers (also referred to “you” in these Conditions of Business for Buyers);

"Buyer" is the person who makes the highest bid for a Lot in an Auction (also referred to “you” in these Conditions of Business for Buyers);  

"Seller" is the person offering a Lot for sale in an Auction (including their agent (other than WWA), executors or personal representatives);

Online Trader” is a person who is the Seller of a Lot and is acting for purposes relating to that person’s trade, business, craft or profession;   

Lot” is an item to be offered for sale at an Auction (and “Lots” shall be construed accordingly);

"Reserve" is the confidential minimum price which the Seller has agreed to accept for a Lot below which the Lot cannot be sold;

"Hammer Price" is the highest bid accepted from a Bidder for a Lot during an Auction;

"Buyer's Premium" is the commission payable by the Buyer on the Hammer Price (at the rates set out in the Guide to Buying in an Auction set out above);

"Purchase Price" is the Hammer Price and applicable Buyer's Premium;

"Additional Buyer's Expenses" are any other costs or expenses due to WWA from the Buyer which are payable in respect of the sale of a Property;

Buyer’s Shipping Costs” are any packing, handling and shipping costs and charges (including any costs covering transit insurance) payable by the Buyer to WWA for provision of delivery services of the purchased Lot to the Buyer; 

Online Services Cancellation Period” is the period of 14 days starting from the day of conclusion of the contract which relates to provision of the delivery services by WWA in favour of the Buyer;     

Online Sale Cancellation Period” is the period of 14 days starting on the day after the Buyer takes physical possession of the Lot;

Online Only Auction” is the sale of a Lot which is conducted solely by means of the Online Only Platform provided by WWA and our partners;

Online Platform” is the online sale platform and associated technical services provided by WWA and our partners which is accessible solely by online means and which enables Buyers to bid for and buy and Sellers to list for Lots in a time based auction;

Online Sale Information” is the Lot information including, but not limited to, any pre-sale estimates; any information regarding provenance; the online catalogue description of the Lot; any condition report provided by WWA in relation to the Lot (with any such condition report being deemed to include the online images of the Lot); any other information relating to the Lot or the conduct of the Online Only Auction published on the Online Platform (including, but not limited to, the Guide to Buying in an Online Auction set out above); any on-screen notices relating to the Online Auction;

Standard Online Delivery Costs” means the sums charges for delivery of the Lot to a Buyer using WWA’s standard online delivery service;

Verified Account” refers to the category of WWA account which is required to enable the account holder to (i) register for a sale; and (ii) to bid in an auction; and

Verified Account holder” means an individual or entity who/which maintains a Verified Account.    


1.3 Registration with WWA

In order to buy or sell through WWA, you are required to register on the Site. When registering you will be asked to provide personal information deemed necessary to carry out the service we provide. Sellers may be asked to enter their bank details to allow any sums due to them to be paid. 

Your details must be kept confidential and are not to be shared with any third party. The liability shall lie with you for any bids made through your account.

The fee for registration is HKD50.00. This is a one-off and non-refundable payment.

Terms of Business

Conditions of Use

2.1 Contracts

The contract in respect of the lot is made to you, the buyer, when the auction ends and you have the highest bid price at this time. The seller sells the lot as the principal in the contract for sale, such contract being made between the seller and you through WWA which acts in the sole capacity as the seller’s agent unless WWA is also acting as the principal as the seller of a lot. 


2.1.1 Contracts with WWA, Buyers and Sellers

A contract is formed between us and you as the Seller when the request to list goods on our Site is received. Another contract is formed between us and you as the Buyer when a bid to purchase goods via our Site is received. In either contract, you are governed by the terms and conditions to use our Site. 

By agreeing to sell and buy with WWA you agree to remain up to date with our terms & conditions which the company has the right to amend at any given point.

Should our contract with you come to an end, this will not affect your obligation to pay any outstanding funds owed to WWA under the contract.


2.1.2 Contracts Between Sellers and Buyers 

When the highest bid is submitted by the buyer, a Contract for Sale of the Lot will be entered into between the Seller and the Buyer. Buyers will be liable to pay the Purchase Price, which is the Hammer Price plus any Tax. 

 
Fitness for Purpose and Satisfactory Quality

The seller does not make and does not agree to make any contractual promise of fact in relation to the satisfactory quality of the lot or its fitness for purpose and therefore cannot be held liable for any breach of any undertaking, whether implied by the Sale of Goods Ordinance (Chapter 26 of the Laws of Hong Kong) or otherwise.


Risk, property and title

Risk in the lot passes to you when you make a winning bid on a lot.  The seller will not be responsible for the lot thereafter.  You will indemnify the seller against all claims, proceedings, costs, expenses and losses.  Title to the lot is retained by the seller until the purchase price and all other sums payable to WWA in relation to the lot are paid in full and received in cleared funds by WWA.

A bid to buy goods through our Site constitutes an offer to buy the goods listed in the relevant auction. Offers may be accepted or declined by the seller at their discretion. Sellers may withdraw goods from auction at any time, in which case charges (as set out below in section 14) will apply. If the seller does not withdraw the goods placed for auction prior to the auction conclusion, on conclusion they automatically accept the offer from the highest bidder. Once submitted, bids cannot be withdrawn.

We will notify sellers and successful bidders via an email when an auction is concluded. We must receive payment from the highest bidder within 7 days of the conclusion of an auction. Goods which are not sold in one auction may be listed again, at our discretion.


2.2 General Terms relating to our site

Any users of the Site must agree to be solely responsible for all costs and expenses they may incur in relation to their use of the Site.

WWA will do our best to ensure that the site remains available and functions properly at all times, although we do not guarantee this and reserve the right to suspend or terminate operation of the site any time that WWA deems it necessary.  WWA reserves the right to restrict access to the site to any individual who is in breach of these terms, not an active participant in an auction (e.g. a registered user) or to protect the rights, property or safety of others.  


2.3 Restrictions on Misuse

All users must not misuse our site. The following are examples of misuse:

  • Using the Site for any improper, unlawful, or immoral purpose;
  • Using the Site to harm or attempt to harm other people in any way;
  • Causing any nuisance by your use of the Site or causing the operation of the Site to be jeopardised or impaired;
  • Using the Site to create, host, or transmit material which infringes the copyright, trademark, patent, trade secret, privacy, right of publicity, or other intellectual property or rights of any other party;
  • Using the Site to make false, misleading, deceptive, or fraudulent offers to sell or buy products, items, or services, or to send chain letters or pyramid schemes or the like;
  • Using the Site to access, or to attempt to access, the accounts of others or to penetrate or attempt to penetrate or breach anyone's security measures, computer software, hardware, electronic communication systems, or telecommunications systems;
  • Using the Site to collect, or attempt to collect, personal information about third parties without their knowledge or consent, or to engage in “screen scraping,” “database scraping,” or any other activity with the purpose of obtaining lists of users or other data;
  • Using the Site for any activity which adversely affects the ability of other people or systems to use the services or the Internet generally, including, without limitation, flooding and hacking;
  • Impersonating any person or entity or using a false name that you are not authorised to use.


Our Role

3.1 Our Status/ Role

In its role as auctioneer of Lots, WWA acts solely for and in the interests of the Seller. Our job is to sell the Lot at the highest price obtainable at the Sale to a Bidder.

WWA acts as an agent for the Seller, unless otherwise indicated in this website, or Catalogue or at the time of auction. On occasion, WWA may own a lot directly, in which case we act as principal to sell the Lot. Any statement or representation we make in respect of a Lot is made on the Seller’s behalf and, unless WWA sells a Lot as principal.


3.2 Privacy / Confidentiality 

By using the Site, you agree to the collection, transfer, storage and use of your personal information by WWA on servers located in Hong Kong.

WWA recognises users’ right to privacy. Any information collected by WWA about users in the course of normal business trading, shall remain private with WWA and shall be held in accordance with the provisions of the General Data Protection Regulation.

Our Site may require users to sign in and/or to create an account using personal information. Such information shall not be shared with any individual or organisation unless you have previously authorised us to do so or if we are legally-obliged to do so by the appropriate authorities.

We collect and analyse information from users of our Site. Information tracked may include your internet address and which particular pages within our website you have visited. 


4. Bidder / Buyer

4.1 Purchasing Goods

4.1.1 Terms of Use

A bid is an irrevocable offer made by the Bidder to purchase a lot.  Bids cannot be retracted and WWA reserves the right to prevent the bidder from any participation in all future auctions as a result of the retraction of a bid.  Maximum bids can be lowered however at the request of the bidder to WWA and this is entirely at the discretion of WWA.  Once the auction ends, the winning bid cannot be retracted.

Only Registered Users will be able to bid on lots listed on our Site.  A registered user can click on “Current Auction” to view all available lots.  To bid on any Lot, a registered user must place a monetary bid in the field provided.  This bid constitutes the hammer price and does not reflect the full cost of the lot which includes the fees and commissions stated herein. If the registered user would like to enter a maximum bid, this should be done in this same field provided.  Our system will automatically place the lowest bid possible to secure that Lot at that point in time.  A bidder has the right to increase their bid at any time until the auction ends.  Increasing the bid to a price which does not match the reserve will bring the price up to your maximum bid.

 

5. Sellers

5.1 Restrictions of Sale

WWA reserves the right to refuse any item for auction.  All goods will be listed with WWA and for sale during an auction at WWA’s discretion.  WWA reserves the right to inspect all goods submitted to be listed as lots and until this inspection has reached a satisfactory conclusion as stated by WWA, the lot will not be listed in any WWA auctions present or future. WWA reserves the right to refuse to sell if we deem reasonable cause to believe that:

the lot is a forgery
any information you have given to WWA concerning the lot is inaccurate or misleading in any material respect
Under these circumstances, the seller will be liable for any charges and costs incurred by WWA including but not limited to storage charges.

This is a whisky auction website and as such, we only list whisky bottles, decanters and casks. We reserve the right to refuse any items at any point and this will be decided upon at the time of the submission of items to WWA.

 

5.2 Submissions 

Items submitted to WWA must be agreed upon by WWA prior to listing in any auction.  WWA is a whisky and wine auction and as such will only accept whisky and wine products deemed of a high enough quality for WWA to list and this will be at the discretion of WWA directors only.  


5.2.1 Restrictions on Reserves for Lots

All reserves are subject to acceptance from WWA.

 

6. Fees, Commissions and Charges

The Fees are as follows:

Registration Fee HK$50.00 or currency equivalent in the following currencies:

RMB (surcharge 10%)

The registration fee is payable by all Buyers and Sellers on Wyatt Whisky Auction. This is a one-off transaction and must be paid by bank transfer to verify the authenticity of all WWA users.

Commission: 12% on top of hammer price (buyer’s premium). Payable by the Buyer.

Seller's fee (Seller’s premium):  3% based on the sale price achieved and payable only if the Lot sells.  If the Lot does not sell, listing will not incur any charge other than the reserve fee. Payable by the Seller.

Listing Fee: HK$50.00 per item listed.

Reserve fee: 3% if the Seller sets a reserve price for less than HK$5,000.00. HK$200.00 per item if the reserve price is set at HK$5,000.00 or above. Payable upon consignment of the bottle with WWA and non-refundable.

Storage Fee: First month’s storage is free of charge. Thereafter, the fee will be 3% of the total lot cost payable each month. Payable by the buyer after 1 month’s storage.


6.1 Payment

Your obligation to pay the purchase price of the lot and the buyer’s premium arises when the auction ends.  It is of paramount importance that you ensure that you have sufficient funds readily available to pay the purchase price and the buyer’s premium as well as any tax, other charges and WWA expenses incurred. Payment must be completed in full within 7 days of the issue of the invoice which will be within 24 hours of the auction finishing.  Payment terms can be changed at the request of WWA users but this is entirely at the discretion of WWA and will depend upon the reasons for delayed payment.  Provided that the Buyer’s Invoice has been settled in full by the payment date stated in the Buyer's Invoice, and the Buyer’s Shipping Quote has been settled in full by the payment date stated in the Buyer’s Shipping Quote, and any requisite export licence or certificate that may be required has been provided to WWA, WWA will ship the purchased property to your delivery address no later than thirty (30) days from the closing date of the relevant Online Auction. 


6.2 Payment Options

Payments must be made by one of the following methods. WWA reserves the right to vary the terms of payment at any time and payments from third parties will only be accepted if agreement is expressed in writing by WWA to the Buyer.  Buyer’s will receive an invoice with the HKD total and can request new invoices to pay in other currencies.  This request must be made within 24 hours of the auction closing date and the currency exchange rate will be taken at the time of the issue of the new invoice and will include the same surcharges set out in the Registration Fee section above.  

WWA’s preferred payment method is by bank transfer.

If paying by bank transfer, you, the remitter, should bear all bank charges, the amount received after the deduction of bank fees and / or conversion of the currency of payment must not be less than the amount payable, as set out in the invoice.


Hong Kong Dollar personal cheque drawn on a Hong Kong branch of a bank: all cheques must be cleared before you can collect your purchased items. Cheques should be made payable to ‘Wyatt International Trading Limited’. Although personal and company cheques drawn in Hong Kong dollars on Hong Kong banks are accepted, you are advised that property will not be released until such cheques have cleared unless you have a pre-arranged Cheque Acceptance Facility. 


Cash: You may pay for lots purchased at this Sale with notes denominated in HKD only provided that the total amount payable does not exceed HK$2 million. If the amount payable exceeds this sum, the balance must be paid using alternative methods of payment.


Debit Cards issued by a Hong Kong bank (EPS): there are no additional charges for purchases made with these cards in person.


Credit Cards: Surcharges on payment by credit card apply as the follows:

American Express
: 5%


China Union Pay (CUP) Credit Cards: There is no limit on payment value if payment is made in person. 7% surcharge applies.

 

6.3 Late Payment/ Non-Payment

All payments made late i.e. later than 7 days after the receipt of the invoice from WWA to the Buyer, will incur a late payment fee of 3% per day that payment is late in addition to the order total. Removal of this fee is at the discretion of the Directors of WWA and this decision is final.  

If there has been no payment within 7 days, at our absolute discretion, we may decide to cancel the contract and offer the bottle(s) for sale at a future auction(s). We reserve the right to seek recovery of any monies remaining unpaid 60 days from the date of invoice via Collection Agencies and/or through the Small Claims Court in the event that the outstanding balance does not exceed HK$75,000. In such circumstances, you shall be liable for any and all additional administrative and/or court costs.

If the purchase price and buyer’s premium are not paid in full to WWA, the Seller has the following exercisable rights:


6.3.1 to terminate immediately the Contract of Sale of the Lot in light of your breach of contract.

6.3.2 to re-sell the lot by auction, private treaty or any other means after having given seven days written notice to you of their intention to resell.

6.3.3 to retain possession of the lot

6.3.4 to remove and store the lot at your expense

6.3.5 to undertake legal action against you for any sum due under the Contract for Sale and/or damages for breach on contract


6.4 Applicable tax and charges

The hammer price and the buyer’s premium is inclusive of any goods or services tax or other tax (imposed by Hong Kong or otherwise).  If any such tax was to be paid under Hong Kong laws or any other laws, the Buyer will be solely liable for this tax at the rate and time according to the relevant law.

Some International deliveries may incur local customs charges. We are not responsible for the payment of any local Customs or Duties. All invoices will be stated at their true value, no exceptions will be made. By bidding in the auction you are accepting full responsibility for these charges.

We accept no responsibility for the accuracy of addresses supplied by the Buyer or processing of customs charges. Where extra information is required by the local customs teams or a Buyer requests a shipment to be returned, we reserve the right to charge an administration fee of HK$250.00 to cover our costs and time in addition to any other costs incurred. The delivery fee for the return shipment will also be borne by the buyer.


7. Liability

7.1 Age and Territory Restrictions

Under Regulation 28 on the liquor licence Cap 109 B laws of Hong Kong, no licensee shall permit any person under the age of 18 years to drink intoxicating liquor on licensed premises. Also, under "Dutiable Commodities (Amendment) Ordinance 2018" (Cap. 109 Hong Kong Law), sale or supply of alcohol / intoxicating liquor to minors (aged below 18) in the course of business is prohibited. We therefore reserve the right to refuse sale to any individuals under the age of 18 years or the legal drinking age in their country of residence or in the country from which they are accessing the Site. Any individual must fulfil such requirements to create an account with us and use the Site.


7.2 Security / Cookies

As a result of the services we provide, we obtain your personal information.

We may use this data to notify you of any changes to our services and to provide you updates and information about products at your request. We reserve the right to disclose your data to any member of our group (including our subsidiaries, our Holding Company and any of its subsidiaries as defined in Section 1159, schedule 6 of the Companies Act 2006).

Subject to this provision, we will not disclose your data to any third party.  We will keep your data for a period of 5 years from the date of your last contact with us so as to simplify any future registration.  This data may be transferred and stored outside of Hong Kong and you agree to this transfer.

This Company’s website (or ISP) uses cookies to enable us to retrieve user details for each visit. Cookies are used in some areas of our site to enable the functionality of this area and ease of use for those people visiting. Some of our affiliate partners may also use cookies.

Whenever you login to one of our services we will use at least two cookies that will identify your session to our services.

In addition to these cookies, we also store IP addresses & user agents with your session. This allows us to look for anomalies in its use to help us protect your account and our systems.

7.3 Third Party Sites

WWA website may contain hyperlinks or references to third party websites which are external to the Site.  Any such hyperlinks or references are provided for your convenience only.  We have no control over third party websites and accept no legal liability nor responsibility for any content, material or information contained in them.  Any such hyperlinks or references are not an endorsement of that third party site and your use of that site will be governed by the terms and conditions of that third party site, not these terms.  


7.4 Limits of Our Liability 

Excluding a legal responsibility that we cannot exclude in law, we are not legally liable for any losses that were not foreseeable when you accessed our site, or that were not caused by any breach of these terms or any duty on our part. Our Site is accessed at your own risk.  

WWA shall not be liable for any delay or failure in its performance caused by or resulting from acts of God like fire, flood, accident, riot, war, government intervention, embargoes, strikes, labour difficulties, equipment failures, or any other causes beyond our control.

To the extent legally permitted, WWA disclaims all warranties, representations and conditions, including those of quality, merchantability, fitness and durability for a particular purpose and those arising by statute.

Despite the previous paragraph, if we are found to be liable, our liability to you or any third party (whether in contract, tort, negligence, strict liability in tort, by statute or otherwise) is limited to HKD1,000.

For any legal dispute, the Customer and WWA agree to submit to the exclusive jurisdiction of the Hong Kong Court System.

 

7.5 Loss and Breakage Liability Cover

Loss and Breakage Liability Cover is available and offered to you at a cost of 3% of the hammer price.  If buyers do not wish to take out Loss & Breakage liability cover for shipping, this must be selected at the checkout stage of the purchase.  If you choose to store your whisky with us, loss and breakage cover must be taken out to use this service and you will be charged for this accordingly.  If the shipment is received and appears to be damaged, it is the responsibility of the buyer to sign the courier’s condition report.  No liability will be accepted if this is signed without examination of the items delivered.

If damage is discovered, photo proof must be sent to us for verification at [email protected].  We are unable to offer refunds for orders which sustain damage in transit that do not have Loss & Breakage liability cover.


7.6 Cancellation of Listings, Bids and Auctions


7.6.1 Seller Cancellation

Sellers have a cooling off period of up to 7 days prior to the auction commencement date for a lot provided for auction.  WWA must receive notification from the seller of their wish to cancel their listing in writing at least 7 days prior to the auction commencement date. In the event that a seller cancels their listing, a handling fee of HK$100.00 will be charged to the seller to cover administration costs for the delisting of said lots. If the seller requests for the lots to be removed from the auction during a live auction, this will be at the discretion of WWA and should WWA agree to cancel, the company will retain all listing fees, reserve fees and an administration fee of HK$300.00 will be charged per lot.

Upon completion of the cancellation, the seller may collect their items from WWA within 7 days or request shipping at their own cost.  It is the seller’s responsibility to pay for insurance for any loss & breakage to items whilst in transit.

 

7.6.2 WWA Cancellation

WWA reserves the right to cancel listings and bids at any time as well as any contracts concluded for the sale or purchase of goods.  The reasons for such a cancellation include but are not limited to:

  • the seller or buyer has breached WWA terms and conditions
  • we cannot authorise buyers payments due to WWA or to the sellers
  • sellers are banned from selling through our Site
  • there has been a mistake made by the seller in the pricing or description of the goods
  • the goods are not available
  • there has been no bid made on a lot
  • payment has not been received for the won lots within 48 hours of the following WWA auction
  • where a buyer's bid is cancelled, the lot may be offered at the discretion of the seller to the next highest bidder.


8. Delivery

8.1 Local Delivery

Delivery is available locally. Delivery by courier will incur additional charges which will be set out in the checkout page of the website after you have won items in the auction.  These charges are set by WWA and WWA reserves the right to change these costs in line with any changes in costs set out by couriers and other third parties involved in the transit of items.

Buyers can opt to collect their lots in person at the office address during opening hours: Monday - Saturday 9.00am - 5.00pm (HKT). The buyer may assign another individual to collect their items on their behalf (a proxy collection) as long as prior notice has been given to WWA by email from the buyer’s registered email address.  This email must state the name of the individual collecting the items. The proxy collector must show photographic identification and the order number(s) upon arrival at WWA.

Buyers should be aware that it may take up to 5 working days from receipt of payment before the lots are dispatched. A signature will be required at the point of delivery.  If the buyer opts for the goods to be left at a location, WWA does not accept any liability for the loss or damage of said goods.

Special Provision as to the shipping and conditions of the goods

Due to the various ages of bottles and their seals, no claim can be lodged against leakage in transit. WWA has a duty of care to ensure that bottles arrive by delivery in the same condition as they are described in the auction. Bottles with wax seals are not covered by the Loss & Breakage cover or standard courier liability. 


8.2 Returns

Returns will not be accepted once the sale has been completed and the contracts between WWA, the buyer and the seller have come to an end.


9. Collection and Storage

WWA will not collect lots for buyers or sellers and all lots must be delivered to our address to be accepted for listing in any of our auctions.  We partner with Crown Wine Cellars for storage solutions in Hong Kong. All lots from the auction not collected from Crown Wine Cellars will be subject to storage charges beginning from the 31st day after the date that the auction ends at a rate of HK$1,200 per lot per month.


10. Governing Law 

These WWA Terms and Conditions shall be governed by, and construed in accordance with the laws that govern the general Bid Conditions in respect of the applicable Sale as specified therein, and by the other terms and conditions as are set forth in such Bid Conditions.  The WWA is listed in Hong Kong and is governed by the Laws of Hong Kong.  International bidders must adhere to their local laws and WWA will not be liable for any breach of these laws.
